The name changes by state
What most people call a good standing certificate is titled a certificate of good standing in some states, a certificate of status or existence in others, and something else again in a few. The state’s form determines what the certificate actually confirms. Tell us what the closing checklist requires and we order the document that satisfies it. Our good standing guide covers the details.
What to send us
- The exact entity name and its state of formation or registration
- The document you need, certified or plain
- For good standings: the jurisdictions, including any foreign qualifications
- The date the document must be dated on or after
Common questions
How current does a good standing certificate need to be?
It reflects the entity’s status on the date it was issued. Lenders and counterparties often require one dated within a set number of days of closing. Tell us the closing date and the requirement, and we time the order so it arrives current.
What if the entity is not in good standing?
We tell you immediately, along with what the state record shows, such as a missed annual report or franchise tax issue. Resolving it is usually a separate filing we can handle once your team decides how to proceed.
